1. Acceptance of These Terms
These Terms of Service govern your use of the Foundation21 website at foundation21.io (the "Site"). By using the Site, you agree to these terms. If you do not agree, please do not use the Site.
Foundation21 LLC, a Connecticut limited liability company doing business as Foundation21 ("Foundation21", "we", "us", or "our"), provides AI consulting and managed services.
2. The Site Is Information Only — It Is Not an Offer or a Contract
Everything on this Site is provided for general information about our business. It is not an offer, a quote, a guarantee, a service level commitment, or professional advice, and it does not create a contract or a client relationship between us.
We provide services only under a separate written engagement agreement signed by both parties. That agreement — not this Site — defines what we will deliver, on what timeline, at what price, and with what service levels and warranties. If anything on this Site conflicts with a signed engagement agreement, the signed agreement controls.
3. Descriptions of Services
Our service descriptions explain what we generally do. They are not promises of any specific outcome, result, saving, revenue increase, or performance level. Results depend on factors specific to each business, many of which are outside our control.
4. Website Content, Blog, and AI-Assisted Material
Our blog and other written material are general commentary, not professional, legal, financial, or security advice. Do not act on them without advice suited to your own situation.
Some content on this Site is drafted or edited with the assistance of AI tools, as described in our Privacy Policy. AI-assisted content may contain errors, and summaries of third-party news or products may be incomplete or out of date. We make no warranty as to the accuracy or completeness of any content on the Site, and we are not liable for reliance on it. Verify anything you intend to act upon.
References to third-party companies, products, or trademarks are for identification and commentary only. They do not imply any partnership, affiliation, sponsorship, or endorsement in either direction unless we state so explicitly.
5. Intellectual Property
The content of this Site — text, graphics, logos, and code — is owned by Foundation21 or its licensors and is protected by intellectual property law. You may view and share it for your own non-commercial reference. You may not reproduce, republish, distribute, or create derivative works from it commercially without our written permission.
"Foundation21", "F21", and "F21 Managed" are marks of Foundation21 LLC. All other trademarks belong to their respective owners.
6. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose;
- Attempt to gain unauthorized access to the Site, its infrastructure, or related systems;
- Probe, scan, or test the vulnerability of any system without our prior written consent;
- Interfere with or disrupt the Site, including by automated overloading;
- Submit false, misleading, or malicious content through our contact form.
We may restrict access to anyone who violates these terms.
7. Submissions Through the Contact Form
Only send us information you have the right to share. Do not submit confidential or sensitive personal information through the contact form — it is not a secure channel for it, and a submission does not create any duty of confidentiality on our part until we have a signed agreement or non-disclosure agreement in place. 8. Disclaimer of Warranties
The Site is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components.
9. Limitation of Liability
To the fullest extent permitted by law, Foundation21 and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the Site — whether based in contract, tort, negligence, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (USD 100). Liability arising from a signed engagement agreement is governed by that agreement instead.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the above applies to the maximum extent the law permits, and nothing in these terms limits liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.
10. Indemnification
You agree to indemnify and hold Foundation21 harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your misuse of the Site or your violation of these terms or of any law or third-party right.
11. Third-Party Links
The Site links to third-party websites we do not control. We are not responsible for their content, accuracy, privacy practices, or availability, and a link is not an endorsement.
12. Changes to These Terms
We may update these terms from time to time. Changes take effect when posted, and the "Last updated" date reflects the most recent revision. Your continued use of the Site after a change means you accept the updated terms.
13. Governing Law and Disputes
These terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict of law rules. You and Foundation21 agree that the state and federal courts located in Connecticut have exclusive jurisdiction over any dispute arising from these terms or the Site, and you consent to the personal jurisdiction of those courts.
If you are a consumer resident in a jurisdiction whose law grants you the right to bring proceedings locally, nothing here removes that right.
14. Severability and Entire Agreement
If any provision of these terms is held unenforceable, the remaining provisions stay in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and Foundation21 regarding your use of the Site.
